Overview
:The position is responsible for supporting the department leadership in managing the shareholder processes related to agreements, projects and analytical guidance for overall tracking and filing on behalf of USAP.
Job Highlights
:- Manages shareholder agreements and related documents and processes
- Reviews and analyzes executed shareholder agreements and related documents to answer questions as requested by the SVP – Finance
- Conducts research projects related to shareholder matters
- Develops process improvements and job aids with respect to shareholder matters as well as with respect to certain corporate governance processes
- Supports certain corporate governance processes, such as maintaining corporate entity organizational charts, reporting on and tracking of key corporate legal entity filings, and advising members of the Legal Department and others with respect to USAP’s Signature Authority Policy, as requested by USAP counsel
- Provides support with respect to review and execution of key corporate contracts, such as vendor agreements, as requested by USAP counsel
- Performs other duties and responsibilities as assigned
Qualifications
:- Bachelor’s degree required, with advanced coursework in business, finance, and/or pre-law preferred
- Paralegal certification and experience in a law firm or corporate legal department preferred
- At least ten (10) years of experience working in a law firm or corporate legal department required
- Experience working for a healthcare organization or healthcare clients preferred
- Exceptional organizational and process improvement skills, including experience managing contract library/database files as well as experience with general contract lifecycle management
- Strong written and verbal communication skills
- Detail-oriented, with a commitment to accuracy in drafting agreements, reports, and other complex written materials
- Professionalism and ability to work independently, manage multiple competing priorities, and provide proactive updates on key projects
- Excellent analytical and problem-solving skills, with expertise in conducting research and providing executive summaries of key research findings (e.g., key provisions contained within certain contracts).
- Proficiency in using Microsoft applications, such as Outlook, Teams, Word, Excel, PowerPoint
- Proficiency in using additional applications such as Adobe Acrobat, Adobe Sign, and/or DocuSign
- Willingness to learn new applications, such as contract automation platforms and contract lifecycle management systems, as needed
