Job Summary

Flagship is seeking an experienced Commercial Attorney to join its Legal Team, reporting to Flagship’s Vice President, Legal. This position can be located anywhere in the United States, with a preference for someone residing in the central U.S. or west coast. The ideal candidate could work out of Flagship’s Southlake, Texas Office. The Commercial Attorney will be responsible for negotiating a broad range of complex commercial and vendor agreements, providing strategic negotiation, risk assessment, management, and drafting support for Flagship’s Sales and Procurement teams, as well as driving ongoing improvement of Flagship’s contracting processes, systems, and tools.

Job Responsibilities

  • Draft, evaluate, redline, and negotiate commercial agreements.
  • Manage Flagship’s contract lifecycle management platform, LinkSquares, and drive adoption company wide.
  • Improve Flagship’s contracting processes and procedures, including internal templates across the business and update based upon changes in the law and Company policies.
  • Work cross-functionally with sales, finance, procurement, operations, and other stakeholders to ensure that contractual terms are compliant with company policies and risk preferences.
  • Develop negotiating playbooks and contracts-related training material for Sales teams.
  • Advise business on commercial contract-related matters and perform other key commercial-related duties, including overseeing external counsel’s handling of commercial litigation.
  • Facilitate corporate reorganization as relates to commercial agreements and processes.
  • Facilitate post-acquisition integrations as relates to commercial agreements and processes.
  • Work on various other legal projects as directed by Flagship’s VP Legal.
  • Knowledge in other areas of the law, including union/labor bargaining and negotiations, CBAs, M&A, privacy, IP/security, employment law, and/or trademark law, strongly preferred.

Qualifications

  • Juris Doctor degree from an ABA accredited law school, licensed to practice law in any US state, and in good standing with the relevant bar association(s) in the US state(s) where licensed.
  • Ideal candidates will have 5+ years’ experience drafting and negotiating complex commercial contracts; experience negotiating government or municipal agreements strongly preferred.
  • Experience using contract lifecycle management platforms to negotiate and manage the contracting process; experience with LinkSquares CLM strongly preferred.
  • Experience creating and managing process improvement projects from start to finish, including communicating with team members and stakeholders throughout the duration of the project.
  • Strong verbal and written communications skills, comfortable and confident in dealing directly with customers, sales teams, and all levels of management.
  • Ability to assess and balance risk associated with contracts and collaborate with contract owners and cross-functional teams to drive alignment and resolve issues.
  • Comfortable and adaptive to an array of technology tools (e.g., Excel, OneDrive, SharePoint).
  • Practical and business savvy perspective that thrives in a fast-paced work environment.
  • Able to operate autonomously, but also to work collaboratively as a team player.
  • Ability to manage multiple projects at once, strong attention to detail and organizational skills.
  • Previous in-house legal experience a plus
