Commercial Counsel

We are seeking a mid-level corporate transactional attorney who excels at balancing multiple priorities in parallel with tactical, detailed execution. Primary responsibility will be supporting commercial and procurement contract process, providing expert advice on current and potential legal and commercial issues, industry specific requirements, and transactional guidance. A calm, service-oriented, practical, and proactive problem solver will thrive in this role. This position will support all U.S. time zones and will interact with employees at all levels of the organization. This role is open to candidates remotely in the USA, with a preference to candidates local to Portland, Oregon.

Here is more of what you’ll get to do:

  • Provide support on complex, strategic contract negotiations
  • Independently drive contract lifecycle from drafting through completion of negotiation process. Manage contract change control process and related correspondence for a high volume of business critical, time-sensitive commercial agreements.
  • Act as primary resource for commercial and procurement team support. Train commercial team members and other new employees on legal processes, procedures, and corporate best practices.
  • Take personal responsibility for meeting the needs of internal and external customers while demonstrating a keen understanding of business objectives.
  • Craft pragmatic and actionable solutions while developing a trusted business partner relationship with stakeholders across the company.
  • Drive development, implementation, and continuous improvement of policies and procedures.
  • Flex your project management skills to balance multiple priorities in parallel with tactical, detailed execution.
  • Anticipate and identify legal issues as well as strategic solutions to the Head of Legal.

You’ll thrive in this role if you have:

  • JD from an accredited law school and licensed to practice in at least one US state.
  • Expertise in commercial transactions with at least 2 or more years of experience working in a corporate legal department at a tech company.
  • Proven track record of balancing legal risk with business priorities.
  • Excellent interpersonal, verbal, and written communication skills. The ability to collaborate and distill complex issues in a clear, concise, and accessible manner is essential.
  • Eagerness to learn and adapt in a fast-moving environment.
  • Intellectual curiosity with a demonstrated history of success working in a collaborative environment.
  • Excellent negotiation skills and able to deftly navigate complex legal negotiations to create simple, clear, and mutually agreeable outcomes in an efficient but risk-conscious manner.
