Brookfield Properties has an immediate need for a Legal Contracts Manager at the Corporate Office in Chicago, IL.
The Corporate Legal Department seeks to add an experienced, energetic Legal Contracts Manager to proactively support its commercial transaction activities and corporate contracts function. The Legal Department provides to its varied client base a broad range of legal expertise, experience and practical knowledge in all facets of the business. As a Legal Contracts Manager, you will play a pivotal role in advancing our organization’s goals and priorities through supporting commercial counsel in the negotiation, drafting and review of various contracts and agreements with our vendors and business partners, including but not limited to those related to facilities services, construction, consulting, technology, marketing, staffing, and events. This individual will work closely with our internal business teams, including IT, marketing, human resources, operations, development, risk management, and tax, as well as with our external vendors to efficiently move commercial transactions forward while protecting our organization’s interests.
The Legal Contracts Manager should have general familiarity with privacy laws and be interested in developing an expertise in them. The Legal Contracts Manager should have also have familiarity with contracts lifestyle management solutions and handling the flow of contracts.
In addition to drafting and negotiating commercial agreements, the Legal Contracts Manager will also proactively develop, implement, review, and revise contract forms, procedures, and processes to improve the contracting and procurement processes for our organization.
Responsibilities:
- Negotiate, draft, and review commercial agreements, including those related to facilities services, construction, consulting, technology, marketing, staffing, and events, resulting in contracts that are clear, legally sound, and in terms favorable to the company.
- Structure, draft, review, and negotiate different types of contracts (e.g., Master Service Agreements (MSAs), Software-as-a-Service (SaaS) Agreements, Non-Disclosure Agreements (NDAs), consulting agreements, licensing agreements, and event agreements) with minimal oversight.
- Collaborate with internal and external business partners throughout the contracting process to minimize risk and ensure the company’s interests are protected.
- Responsible for identifying, reviewing and summarizing legal, financial and business issues in standard and non-standard contracts.
- Ensure that contracts are appropriately handled during mall divestitures or acquisitions.
- Perform legal research as needed to ensure relevant language in form agreements and templates is accurate, update form agreements and templates as required, and confirm company compliance with applicable laws.
- Ensure accuracy of agreements, amendments, renewals and extensions, and perform contract follow-up activities as required.
- Create, maintain, and improve internal policies relating to contract lifecycle and compliance.
- Work with internal business clients and attorneys to create and revise contract templates.
- Work with internal business clients and attorneys to set appropriate priorities and deliver results within established timelines on assigned contract issues.
- Handle special projects and other duties as assigned.
Qualifications:
- High School Diploma or GED required
- Bachelor’s degree required / JD optional
- A minimum of 5-8 years of commercial law/contracting experience with a law firm and/or corporation
- Proven ability to structure, draft, and negotiate sophisticated commercial transactions required
- Experience in subsidiary maintenance, corporate transactions, corporate secretarial work, and corporate governance a plus
- Demonstrated ability to work independently with minimal oversight
- Excellent verbal and written communication skills, organizational skills, and strong drafting ability required
- Familiarity with privacy laws and how they interface with commercial transactions strongly preferred
- Familiarity with bribery and corruption compliance a plus
- Familiarity with contracts lifestyle management solutions
- Proven ability to handle stressful situations, a diverse and high-volume workload, and provide client service in a professional manner
- Excellent interpersonal skills, with an ability to interface with colleagues and counterparties at all levels and to inspire confidence and trust with a variety of clients
