Job Summary:
The Corporate Legal Group at Gilead is seeking a thoughtful, dynamic, and collaborative attorney to join the company’s Office of Corporate Secretary at the company’s headquarters in Foster City, California. We are a thoughtful, close-knit, and friendly team that supports the company’s corporate governance, external engagement, and securities function. The ideal candidate will thrive in a fast-paced environment and will be a practical and business-minded attorney.
Job Responsibilities:
- Support the Office of Corporate Secretary in advising on corporate governance, external engagement, and securities matters, including:
- Providing support to the company’s board of directors, senior management, and stakeholders.
- Advising on the company’s corporate governance practices and policies by monitoring and assessing related rules, best practices and frameworks, including those established by SEC and Nasdaq rules and voting policies and guidelines of top investors and proxy advisory firms.
- Supporting the company’s year-round stockholder engagement function, including investor roadshows and meetings as well as press releases, publications and other external communications.
- Advancing the company’s corporate responsibility and environmental, social and governance (ESG) programs, including publication of the company’s annual ESG report.
- Managing the company’s disclosure framework in response to existing and proposed rules in the ESG space, including SEC climate change and CSRD disclosure and compliance rules.
- Providing support from time to time on other disclosure and compliance requirements, including securities filings, such as proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings, as well as other special projects.
- Partner with various functional groups and leaders on all of the foregoing, including members of Gilead’s Investor Relations, Public Affairs, Finance and Accounting, Environmental Health & Safety and Total Rewards teams.
Minimum Qualifications:
- Juris Doctorate from a nationally accredited law school.
- Admission to applicable state bar, registration as in-house counsel, or ability to gain admission or registration for in applicable state within 90 days.
- At least 3 years of relevant experience at a leading national law firm or in-house role.
- Prior experience or knowledge of SEC and Nasdaq rules and regulations and Delaware corporate law.
- Exceptional and demonstrated written and verbal communication skills and attention to detail.
- Team focused and collaborative work style; willingness to build expertise and tackle new challenges in an evolving practice.
- Ability to manage and serve a wide range of clients within the company by recognizing and responding quickly and pragmatically to urgent situations.
- Good business judgment, high level of professional integrity and the discretion, tact and ability to maintain confidentiality on sensitive business matters.
- Exercise mature and reliable judgment while enjoying the company's enthusiastic, informal and fast-paced environment.
The salary range for this position is: $199,835.00 - $258,610.00. Gilead considers a variety of factors when determining base compensation, including experience, qualifications, and geographic location. These considerations mean actual compensation will vary. This position may also be eligible for a discretionary annual bonus, discretionary stock-based long-term incentives (eligibility may vary based on role), paid time off, and a benefits package.
